Terms of service
Last updated: September 9, 2026
These terms are the contract between you and Mindexa for use of https://mindexa.space. By creating an account, starting a trial, or paying for a plan, you accept them. This is an operator-written generator text describing the product — not a substitute for legal advice.
1. Operator and language
Provider: Mindexa, hello@mindexa.space. Postal address: see the legal notice (Impressum).
The binding version for consumers in Germany is the German text if you use the app in German; the English text is provided for other users. If both apply and they conflict, the German version prevails for users habitually resident in Germany.
2. The service — not a broker, not advice
Mindexa is software for journaling and analysing your own trading activity, including psychology metrics, optional broker import/sync, news calendar, and optional AI helpers.
It is not investment advice, portfolio management, a signal service, a credit offer, or a brokerage. We do not execute trades. Nothing in the app is a recommendation to buy or sell any instrument.
You are solely responsible for your trading, risk, tax, and regulatory duties. Past performance and in-app examples are not guarantees.
3. Account and eligibility
You must be at least 18. You must provide a working email and keep login details secret. One person per account unless we agree otherwise in writing.
Demo mode is a sandbox with sample data. It is not your live journal and may omit paid features.
We may refuse or close accounts that look automated, abusive, or created to evade limits.
4. Plans, trial, and limits
Current plans (Lite, Plus, Pro, Max), prices in EUR, included features, and limits are shown on the pricing page and in Settings. We may change future prices or pack contents; existing paid terms stay until the period you already bought ends, unless the law says otherwise.
Lite is free with tight limits (including a small total trade cap). Plus adds CSV import without MetaAPI broker sync. Pro and Max add broker sync, live open P&L (plan-gated), and higher AI/storage limits. Max is a higher ceiling on the same product, not a different product.
A 7-day Pro trial starts via Lemon Squeezy checkout with a card on file. After the trial, access falls back to Lite unless you have an active paid plan. A trial that is not cancelled in time becomes paid Pro under Lemon’s checkout.
5. Billing, Lemon Squeezy, taxes
Paid checkout, invoices, sales tax/VAT collection, refunds, and card storage are handled by Lemon Squeezy as merchant of record. Their buyer terms apply to the payment contract. We grant you the matching app plan when Lemon tells us the subscription is active.
Subscriptions renew until you cancel in the Lemon billing portal (or the in-app “manage billing” link that opens it). Cancel before the renewal date to avoid the next charge.
Prices are listed in EUR. If your card is billed in another currency, the amount depends on your card issuer and Lemon.
6. Downgrade, storage purge, PAYG
If you move to a smaller plan, extra accounts, trades, or screenshots above the new limits may be blocked immediately. Screenshot storage above the new cap may be deleted after the grace period shown in the app (30 days after the paid period ends, unless we show a different date).
On Max, extra AI and storage above the monthly allowance included in the subscription is pay-as-you-go at the rates shown in Settings (higher than the included plan). You stay on Max. Pro and smaller plans must upgrade to Max for overage. Extra usage is metered in the app.
7. Your content and licence
You keep ownership of your journal content. You grant us a worldwide, non-exclusive licence to host, back up, display, and process it only to provide Mindexa (including processors listed in the privacy policy).
You must have the right to upload screenshots and trade data (including data pulled from a broker you control).
8. Broker credentials and MetaAPI
If you connect a broker, you authorise us to use MetaAPI to read account data. We undeploy the cloud terminal after sync and on disconnect to limit provider cost; a later sync may redeploy it.
Wrong passwords, broker outages, or MetaAPI downtime can delay or miss trades in the journal. The journal is not a trading backup. Keep your own broker statements.
Never share a password you are not allowed to share. Prefer investor/read-only logins where your broker offers them.
9. AI features
AI replies can be incomplete or wrong. Do not rely on them for trading, tax, or legal decisions. We may throttle or disable AI if a provider is down or if usage looks abusive.
10. Acceptable use
Do not probe other users’ data, overload the API, scrape the service in a way that harms it, upload malware, or use Mindexa for unlawful activity (including market abuse or evading sanctions).
Do not resell the product or share one paid login across a team unless a custom plan says so.
We may suspend or terminate accounts that breach these rules or create a security risk. We will try to email you first unless we must act immediately.
11. Availability
We aim for good uptime but do not promise uninterrupted service, instant broker sync, or error-free AI. Maintenance, provider outages (Vercel, Supabase, MetaAPI, quotes), or force majeure can interrupt access. Statutory rights for consumers stay untouched.
12. Intellectual property
The Mindexa name, UI, and software belong to us or our licensors. Charts may use TradingView Lightweight Charts under its licence. You may not copy the product except for normal use through the provided interface.
13. Liability
We are not liable for trading losses, missed trades, or decisions you make using the journal.
We are fully liable for intent, gross negligence, injury to life, body or health, and for liability that cannot be limited by law (including German product-liability rules where they apply).
For slight negligence we are liable only if we breach an essential duty (a duty that makes the contract work at all and on which you may routinely rely), and only for typical, foreseeable damage.
We are not liable for the conduct of Lemon Squeezy, your broker, MetaAPI, quote vendors, or OAuth providers, except where we ourselves are at fault under the rules above.
14. Consumer withdrawal
EU/EEA consumers have a statutory right of withdrawal for many distance contracts. Lemon Squeezy presents the withdrawal/refund information at paid checkout. If you consent to digital service starting immediately and acknowledge that you lose the withdrawal right, that waiver applies as shown there.
An in-app trial without payment is not offered. Ending a Lemon trial follows Lemon’s checkout and withdrawal rules.
15. Changes to these terms
We may update these terms for legal reasons or product changes. We will post the new date and, for material changes, notify account holders. If you do not agree, stop using the service and cancel billing; continued use after the effective date means you accept the new terms, unless mandatory consumer law says otherwise.
16. Governing law and venue
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protections of your country of residence still apply if you are a consumer.
If you are a business (Kaufmann), a legal entity under public law, or have no general venue in Germany, venue is the court competent for the address in the legal notice (Impressum).
17. Severability
If a clause is invalid, the rest stays in force. The invalid clause is replaced by what comes closest to the economic purpose and the law.
